Job Description:

We are seeking a qualified and experienced Legal Manager to oversee the legal operations of our business. In this role, you will ensure that the company adheres to all relevant laws and regulations, while providing legal guidance to stakeholders on critical legal matters. The candidate will focus on minimizing legal risks and ensuring compliance across the organization.

Key Responsibility Areas:

    • Collaborate with business teams to understand legal requirements and align them with company objectives.
    • Proactively ensure compliance across all legal areas, including contracts and agreements, with a focus on India-specific laws.
    • Review and draft contracts following company standards, including customer contracts, MSA, SaaS, and AMC agreements.
    • Lead contract negotiations with customers, service providers, and vendors, ensuring the company’s interests are well-protected.
    • Work closely with the leadership team to identify key contract components to be included in the master agreement.
    • Maintain a comprehensive repository of executed contracts, highlighting key features and deviations from the standard contract.
    • Manage contracts, track renewal timelines, and maintain reports on upcoming renewals.
    • Support the management of intellectual property portfolio, particularly trademarks and copyrights.
    • Assist with external legal counsel during litigations and hearings.
    • Collaborate with corporate functions (HR, Admin, Finance) on technical service agreements, consultancy agreements, licensing, and conflict resolution.
    • Assist with the procurement of corporate certificates and insurance policies, ensuring timely renewals.
    • Identify and address any legal challenges to ensure smooth implementation of new business offerings.
    • Assist with drafting legal notices, letters for delayed payments, and disciplinary actions.
    • Advise on employment-related legal matters, such as termination, severance, mutual separation, outsourcing, and employment templates.
    • Provide legal guidance to business and functional teams (HR, Admin, Finance) on an ad-hoc basis.
    • Coordinate with external counsels to obtain legal opinions when necessary.
    • Conduct legal research to determine the applicability of laws to the business and offer management recommendations.
    • Identify potential risks and propose mitigation strategies.
    • Prepare and share monthly reports on legal contracts with management.
    • Undertake any other legal tasks as required to support the business.

Requirements:

    • A degree in Law or a related field.
    • 10+ years of experience as a Legal Counsel within a business environment.
    • Strong expertise in corporate law and commercial matters, specifically within India.
    • In-depth experience in reviewing and negotiating contracts and agreements (India-specific).
    • Hands-on experience in handling statutory and regulatory matters related to microfinance, NBFCs, or banking (India-specific).
    • Familiarity with corporate secretarial duties and compliance (India-specific).
    • Experience with litigation processes, including administrative procedures and court proceedings (India-specific).
    • Strong understanding of internal and external business practices and regulations (India-specific).
    • Proven ability to develop proactive or defensive legal strategies (India-specific).
    • Exceptional drafting skills in legal documentation.
    • Experience managing teams and providing leadership.
    • High ethical standards and integrity in professional practice.
    • Strong judgment, analytical skills, and the ability to assess complex situations.
